Product Warranty

Upon the conditions and subject to the exceptions below, Proem Technology Company (PROEM) warrants that furnished product(s) under this transaction shall be free from defects in material and workmanship for one year after delivery of the product to the original Purchaser by PROEM. If any included product is proven defective in material or workmanship by PROEM’s inspection, PROEM’s obligation and liability under this warranty is limited to, at PROEM’s discretion, (1) repair, at PROEM’s manufacturing works, (2) replacement by equivalent product, or (3) refund the purchase price of the defective product. This warranty is subject the following conditions and exceptions:

1. This warranty excludes, upon PROEM’s inspection whether suspected or proven, damage resulting from abuse, excess, accident, modifications, or other causes that are not defects in materials and workmanship.

2. The defective product is considered, by PROEM, to be a disposable, consumable, or expendable product. Disposable, consumable, or expendable products are only warranted to conform to content and quantity at the time of delivery.

3. PROEM makes no warranty with respect to parts, components, or accessories not manufactured by PROEM. In the event of defect, PROEM will provide reasonable assistance in procurement of correction as provided by the manufacturer’s warranty.

4. If the product requires onsite repair, only warranty labor and parts will be provided without cost to Purchaser. Additional transportation, labor, and other expenses incurred will be charged to Purchaser.

5. Any technical advice, information, suggestions, or recommendations given to Purchaser by PROEM or PROEM’s representative with respect to the product or to the suitability or desirability of the product for a particular use or application are based solely on the general knowledge of PROEM, are intended for informational guidance only, and do not constitute any representation or warranty by PROEM that the product shall in fact be suitable or desirable for any particular use or application.

6. Purchaser takes sole responsibility for the use and applications to which the product is used. Purchaser shall conduct all testing and analysis necessary to validate the use or application to which Purchaser uses the product, or for use or application which Purchaser may recommend the use or application of the product by others.

7. PROEM is released from all obligations, expressed or implied, if product is repaired or modified by persons other than PROEM authorized personnel, unless completed with prior written consent of PROEM.

TO THE EXTENT PERMITTED BY APPLICABLE LAW, PROEM IS NOT LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE, SALE, HANDLING, SERVICE, OR REPLACEMENT OF THE PRODUCT. THE WARRANTY AND REMEDIES DESCRIBED ABOVE ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, REMEDIES, AND CONDITIONS, WHETHER ORAL, WRITTEN, EXPRESS, STATUTORY, OR IMPLIED. TO THE EXTENT PERMITTED BY APPLICABLE LAW PROEM DISCLAIMS ALL IMPLIED AND STATUTORY WARRANTIES, INCLUDING, WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IF IMPLIED WARRANTIES CANNOT BE DISCLAIMED, THEN SUCH WARRANTIES ARE LIMITED IN DURATION TO THE DURATION OF THIS WARRANTY.

Any recovery is limited to the original purchase price. No other person is authorized to modify this warranty. Some states do not allow limitations on how long an implied warranty lasts, or allow exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you. This warranty gives you specific legal rights, and you may also have other rights, which vary from state to state.
